License

1. Introduction

This License Agreement ("Agreement") is made between Sadi Stock Photo Website ("Licensor") and the user ("Licensee"). By downloading or using any image from the Sadi Stock Photo Website, Licensee agrees to be bound by the terms and conditions of this Agreement.

2. Definitions

• Premium Images: Images that require payment before download.
• Free Images: Images that can be downloaded without any payment.
• Licensed Image: Any image downloaded from the Sadi Stock Photo Website.

3. License Grant

3.1 Premium Images: Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the Premium Images under the following conditions:

• Personal Use: Use for personal, non-commercial projects.
• Commercial Use: Use for commercial projects, including marketing materials, websites, social media, and advertisements.

3.2 Free Images: Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the Free Images under the following conditions:

• Personal Use: Use for personal, non-commercial projects.
• Commercial Use: Limited use for commercial projects, including websites and social media, but not for products for resale or distribution where the image is the primary value.

4. Restrictions

Licensee may not:

• Resell, redistribute, or transfer the Licensed Images to any third party.
• Use the Licensed Images in a way that is defamatory, pornographic, or otherwise illegal.
• Create derivative works based on the Licensed Images for resale or distribution.
• Use the Licensed Images in a manner that allows third parties to download, extract, or redistribute the images as standalone files.

5. Intellectual Property Rights

All rights, titles, and interests in and to the Licensed Images remain with the Licensor. This Agreement does not transfer any intellectual property rights to the Licensee.

6. Term and Termination

This Agreement is effective upon download of the Licensed Image and continues until terminated. Licensor may terminate this Agreement at any time if Licensee breaches any of the terms. Upon termination, Licensee must cease using the Licensed Images and delete all copies.

7. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from any and all claims, damages, liabilities, costs, and expenses arising from Licensee's use of the Licensed Images.

8. Limitation of Liability

Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the Licensed Images.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements and understandings.

By downloading or using any images from the Sadi Stock Photo Website, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this License Agreement.
